These Terms of Use ("Terms") govern your use of vorohq.com (the "Website") and, unless a signed project agreement says otherwise, the services offered under the brand Voro Films by Voro Ventures Private Limited, a company incorporated under the Companies Act, 2013 (CIN: U62099DC2026PTC475687; GSTIN: 09AAMCV8019K1ZN), having its registered office at 4550, Chawri Bazar, Charkhewalan, Delhi 110006, India ("Voro", "we", "us").
1. Use of the Website
- You may browse the Website and use its content for lawful purposes connected with evaluating or engaging our services.
- You must not copy, scrape, reproduce, frame or commercially exploit Website content, imagery or videos without our written permission.
- You must not attempt to gain unauthorised access, introduce malware, overload the Website, or submit false, misleading or abusive information through our forms.
- We may suspend access or block submissions that violate these Terms.
2. Information, prices and quotes
- Packages and prices on the Website are starting prices for the scope described, in Indian Rupees and exclusive of GST. They are an invitation to enquire, not an offer capable of acceptance.
- Our written quotes are valid for 15 days from the date of issue unless stated otherwise.
- Outputs from the Website's budget estimator are indicative only and do not bind either party.
- We try to keep Website content accurate and current but do not warrant that it is error-free.
3. Booking and engagement
A booking is confirmed only when (a) you accept our written quote or issue a purchase order referencing it, and (b) we receive the booking advance. Shoot dates are not held until the advance is received. Changes to scope, dates, locations or deliverables after confirmation may be re-quoted.
4. Fees, taxes and payment
- Unless otherwise agreed: 50% of the project fee as a booking advance, and the balance before release of final deliverables. Monthly retainers are payable in advance.
- GST is charged at the rate applicable on the date of invoice. Our tax invoices comply with GST law so eligible clients may claim input tax credit, subject to that law.
- Where tax is to be deducted at source, you must deduct it at the correct rate, deposit it on time and share the TDS certificate. Short-deducted or undeposited amounts remain payable.
- Out-of-pocket costs agreed in advance (outstation travel, stay, location fees, permits, talent, studio and equipment rentals) are billed at actuals.
- Overdue amounts may attract interest at 1.5% per month from the due date until payment, and we may withhold deliverables until dues are cleared.
- Payment is accepted by bank transfer (NEFT/RTGS/IMPS) or UPI to the account named on our invoice. We will never ask you to pay into a personal account; verify any change in bank details with accounts@vorohq.com before paying.
5. Client responsibilities
You are responsible for:
- obtaining permission to shoot at locations you nominate, including from venue owners, housing societies, building management or authorities;
- informing and obtaining any required consent from employees, guests, attendees and other individuals to be filmed or photographed;
- ensuring that logos, trademarks, music, footage, scripts and other materials you supply are owned by you or licensed for the intended use;
- accuracy of factual, regulatory and legal claims in scripts and on-screen text (for example, financial, medical or real estate project claims, including those regulated under RERA), which you must approve;
- providing safe access, a site safety briefing where relevant, power, and a single point of contact on shoot days;
- giving consolidated feedback within the timelines in our Delivery Policy.
6. Drone operations
- Drone shoots are conducted in accordance with the Drone Rules, 2021 and directions of the Directorate General of Civil Aviation, including the airspace map published on the Digital Sky platform.
- Red-zone locations cannot be flown. Yellow-zone locations require prior permission, which we will help apply for; the grant and timing of permission are outside our control.
- Our remote pilot may decline, delay or abort a flight for safety, weather, airspace, crowd or legal reasons. Such a decision is final on the day and is handled under our Refund & Cancellation Policy.
- You must obtain consent of the property owner or occupier for take-off and landing points you nominate.
7. Intellectual property
- Website. All content on the Website, including the Voro Films name and logo, text, design, images and videos, belongs to Voro or its licensors.
- Your materials. You retain ownership of materials you provide and grant us a limited licence to use them for your project.
- Deliverables. On receipt of full payment, you receive a perpetual, worldwide, non-exclusive (or exclusive, if agreed in writing) licence to use, reproduce, publish and adapt the final deliverables for your business purposes. Where the agreement provides for assignment of copyright, assignment takes effect on full payment and in writing, in accordance with the Copyright Act, 1957.
- Raw footage and project files. Unless purchased separately, raw footage, outtakes and editing project files remain with Voro.
- Third-party elements. Licensed music, stock footage, fonts and similar elements are licensed for the use described in the quote. Use beyond that (for example, broadcast TV or paid media in some cases) may need an upgraded licence.
- Talent. Usage rights for models, actors and voice artists are limited to the media and period agreed in the quote.
8. Portfolio and publicity
Unless you tell us otherwise in writing, or the project is covered by an NDA, we may show your project's final deliverables (or extracts) in our portfolio, showreel, website and social channels after you publish them. We will remove portfolio use on reasonable written request.
9. Confidentiality
Each party will keep confidential the other's non-public business information received in connection with a project and use it only for that project. This does not apply to information that is public, already known, independently developed, or required to be disclosed by law. We are happy to sign your NDA.
10. Revisions and changes in scope
Each package includes the revision rounds stated in the quote. A revision round means one set of consolidated feedback on a single version. Changes to an approved script, storyboard or edit structure, additional shoot days, new deliverables, or feedback received after deemed acceptance are treated as a change in scope and may be charged.
11. Warranties and limitation of liability
- We will perform services with reasonable skill and care using professional equipment and crew.
- Creative choices made within an approved brief, script or reference are not defects.
- If footage is lost or unusable due to our equipment failure or error, our liability is limited to re-shooting the affected portion at our cost where reasonably possible or, if not possible, refunding the fees paid for that portion.
- To the maximum extent permitted by law, our total liability for any claim arising from a project is limited to the fees actually paid to us for that project, and we are not liable for indirect, consequential or special losses, including loss of profit, business or goodwill.
- Nothing in these Terms limits liability that cannot be limited under applicable law, including your statutory rights as a consumer, where applicable.
12. Indemnity
You will indemnify Voro against third-party claims arising from (a) materials you supply, (b) locations, people or claims you are responsible for under Section 5, or (c) your use of deliverables beyond the licence granted.
13. Force majeure
Neither party is liable for delay or failure caused by events beyond reasonable control, including natural disasters, extreme weather, epidemic, war, riots, strikes, government orders, curfews, airspace restrictions or prolonged power or internet outages. Affected shoots will be rescheduled in good faith, as set out in our Refund & Cancellation Policy.
14. Termination
Either party may terminate a project by written notice if the other materially breaches these Terms and fails to cure the breach within 15 days of notice. On termination you will pay for work performed and costs incurred up to the date of termination; deliverables are licensed only to the extent paid for.
15. Governing law and disputes
- These Terms are governed by the laws of India.
- The parties will first try to resolve any dispute through good-faith discussion for 30 days, starting with a written notice to legal@vorohq.com.
- Unresolved disputes will be referred to arbitration by a sole arbitrator appointed by mutual consent under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be New Delhi, and the language English.
- Subject to the above, the courts at Delhi shall have exclusive jurisdiction.
16. General
If any provision is held invalid, the rest remains in force. Our failure to enforce a provision is not a waiver. We may update these Terms; the version on the Website on the date of your booking applies to that booking. Notices to us must be sent to legal@vorohq.com with a copy to our registered office.
